This Service Agreement (this "Agreement") is between Envious Labs LLC, a New York limited liability company doing business as EnviousStaging ("EnviousStaging," "we," "us," or "our") and the client identified at checkout or in the signature block (the "Client," "you," or "your"). This Agreement governs EnviousStaging's virtual staging and related services (the "Services"). By clicking "I agree" at checkout, purchasing, uploading photos, or otherwise accepting this Agreement, you agree to these terms and to the Delivery and Revision Policy and Refund Policy (collectively, the "Policies") linked on the checkout page and incorporated by reference. The version of this Agreement and the Policies in effect on the date of your order governs that order; we will retain electronic records of your acceptance (including timestamp, IP address, and session identifiers) as evidence of agreement.
EnviousStaging provides AI-assisted virtual staging of real estate photos, together with human review and polish, to produce marketing-ready images for real estate listings. The specific scope for each engagement is defined by the selected package at checkout (the "Package") and may include related services such as light object removal, twilight conversion, or seasonal adjustments. The Services produce illustrative, virtually staged images that are not measurements, condition reports, or guarantees of property features. EnviousStaging will not alter, add, or remove permanent features (for example, walls, windows, structural elements, or power lines) and will not obscure material defects. We may use third-party AI tools, processors, and subcontractors under our control to perform the Services and may transmit Client Materials to those processors solely to provide the Services.
The fee for the Services is the amount displayed at checkout, which is currently $99 per listing (the "Fee") as an introductory price. The Fee covers all photos in a single listing up to the limits described in the Package. Additional services, additional listings, or work outside the scope of the Package may incur additional fees, which will be quoted and agreed in writing before work begins. All Fees are in U.S. dollars, are exclusive of any applicable sales or use tax, and are due in full at the time of order unless otherwise agreed in writing.
You represent and warrant that (i) you own or have all rights and consents necessary to provide the photos, floor plans, and other materials you submit to us for staging (the "Client Materials"), including from the photographer or other rightsholder and the property owner or occupants, (ii) our use of the Client Materials under this Agreement will not infringe any third party's rights or violate any person's privacy or publicity rights, and (iii) no Client Materials depict minors or private spaces (including bedrooms and bathrooms) without all required consents. You grant EnviousStaging a non-exclusive, worldwide, royalty-free license to use, copy, modify, and create derivative works from the Client Materials solely for the purpose of providing the Services to you and for portfolio and marketing use by EnviousStaging in accordance with Section 8.
You expressly acknowledge and consent to EnviousStaging's use of artificial intelligence tools and generative models to process, alter, and produce derivative works of the Client Materials as part of the Services. You understand that the Output is produced with the assistance of AI and that portions of the Output may not qualify for copyright protection under current U.S. copyright law.
Upon full payment of the Fee, EnviousStaging assigns to you all right, title, and interest it may have, if any, in the final staged images delivered to you (the "Output"), subject to this Agreement and any third-party rights in the underlying Client Materials. You acknowledge that because portions of the Output are AI-generated, some or all of the Output may not qualify for copyright protection under current U.S. copyright law, and EnviousStaging makes no representation that the Output is fully copyrightable by you or by EnviousStaging. Any intermediate files, working files, AI prompts, model outputs not delivered, internal notes, and the tools, models, workflows, and know-how used to produce the Output remain the sole property of EnviousStaging.
If you initiate a chargeback, payment dispute, or reversal of the Fee through your payment provider or card issuer, any license or rights granted to you in the Output under this Agreement are immediately and automatically revoked, and you must promptly cease all use of the Output and delete or return any copies in your possession.
Delivery timelines and the number of included revisions are governed by the EnviousStaging Delivery and Revision Policy, available at enviousstaging.com and incorporated into this Agreement by reference.
Refund eligibility and the refund process are governed by the EnviousStaging Refund Policy, available at enviousstaging.com and incorporated into this Agreement by reference.
You agree not to submit Client Materials that are illegal, that you do not have the right to provide, or that depict minors or private spaces without the consent of the people shown or the occupant. You agree not to use the Output to misrepresent property features in a way that would violate applicable real estate advertising or consumer protection laws. You are solely responsible for ensuring the Output complies with the rules of any multiple listing service (MLS), brokerage, or platform on which you publish it, including any required disclosure that images have been virtually staged.
Unless you email an opt-out to [email protected] within seven (7) days after your order confirmation, or before we first publish the Output in any portfolio or marketing context (whichever is earlier), you grant EnviousStaging a perpetual, non-exclusive, royalty-free license to use before and after versions of the Output in our portfolio, case studies, website, social media, and marketing materials. We will not display street numbers, full property addresses, or other personally identifiable information in such materials without your written consent, and we will strip EXIF location metadata from any images we publish. If you opt out after publication, we will remove the affected content within five (5) business days of your written request.
We will use commercially reasonable efforts to deliver Output that meets professional standards. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE SERVICES AND THE OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." ENVIOUSSTAGING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR TRADE USAGE. We do not warrant that the Output will meet the specific standards of any MLS, brokerage, or other third party, or that the Output is suitable for any purpose beyond marketing use for the listing identified in the Package.
TO THE FULLEST EXTENT PERMITTED BY LAW, ENVIOUSSTAGING'S TOTAL LIABILITY TO YOU UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE TOTAL FEES YOU PAID FOR THE SPECIFIC LISTING THAT GAVE RISE TO THE CLAIM. IN NO EVENT WILL ENVIOUSSTAGING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
If you are a real estate professional, broker, agent, seller, landlord, or any other person or entity using the Services for commercial purposes, you agree to defend, indemnify, and hold harmless EnviousStaging, its members, officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) the Client Materials, (b) your use or publication of the Output, or (c) your breach of this Agreement. This Section 11 does not apply to individual consumers using the Services for non-commercial purposes; however, those consumers remain responsible under applicable law for their own use of the Output and the Client Materials.
Either party may terminate this Agreement for any reason before Output is delivered by written notice to the other party. If you terminate before work begins, you are entitled to a full refund. If you terminate after work has begun but before Output is delivered, refunds are governed by the Refund Policy. For purposes of this Agreement and the Refund Policy, "work begins" when EnviousStaging allocates production resources to your order or commences processing Client Materials, whichever occurs first. Sections 3 (license to us), 4 (ownership of Output, subject to full payment), 7 (acceptable use), 8 (portfolio use), 9 (warranty disclaimer), 10 (limitation of liability), 11 (indemnification), and 13 (miscellaneous) survive termination.
(a) Governing Law and Venue. This Agreement is governed by the laws of the State of New York, without regard to its conflict of laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York, for any dispute arising under this Agreement, except that either party may bring a qualifying claim in any small claims court of competent jurisdiction.
(b) Notices. Notices to EnviousStaging shall be sent to [email protected] or by U.S. mail to Envious Labs LLC, 9 High Plains Rd, Shelton, CT 06484. Notices to you shall be sent to the email address you provided at checkout.
(c) Assignment. You may not assign this Agreement without our prior written consent. We may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets.
(d) Entire Agreement. This Agreement, together with the Delivery and Revision Policy, the Refund Policy, and any written Package description or order confirmation, constitutes the entire agreement between the parties regarding the Services and supersedes all prior agreements and understandings.
(e) Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
(f) Electronic Acceptance. Clicking "I agree" at checkout, signing electronically, or otherwise indicating acceptance has the same legal effect as a handwritten signature.
